Terms & Privacy

These Terms and Conditions (“Terms”) govern your use of the WeRide mobile application (“App”) operated by Veltrex Solutions, Inc. (“Veltrex,” “we,” “us,” or “our”). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes your acceptance of the updated Terms.

You must be at least 13 years of age to use WeRide. Users between 13 and 17 must have parental or guardian consent. By using the App, you represent and warrant that you meet these eligibility requirements.

To access most features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, are being used inappropriately.

4.1 Permitted Use

WeRide is a ride-sharing coordination platform that allows users to create, share, and join rides with others. You may use the App solely for lawful, personal, non-commercial purposes in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Post false, inaccurate, or misleading ride information
• Harass, abuse, threaten, or intimidate other users
• Attempt to gain unauthorized access to any part of the App or its systems
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the App
• Use automated tools (bots, scrapers) to access or collect data from the App
• Upload or transmit viruses or other malicious code
• Use the App to solicit or engage in commercial activity without our prior written consent

5.1 Ride Coordination

WeRide facilitates coordination between users for ride-sharing purposes. We are not a transportation provider and do not provide transportation services. All rides arranged through the App are between users directly.

5.2 User Responsibility

You are solely responsible for:

• Your conduct and interactions with other users
• Compliance with all applicable traffic laws when driving
• Ensuring your vehicle is properly insured and roadworthy, if you are a driver
• Verifying the identity and suitability of other riders before sharing a ride

5.3 Safety

Your safety is important to us. However, Veltrex cannot guarantee the conduct of any user. We encourage you to exercise caution, share ride details with trusted contacts, and report any safety concerns to us immediately at support@weride365.com.

The App may include features that allow users to split costs or make payments. By using payment features, you agree to:

• Provide accurate and current payment information
• Pay all applicable fees and charges incurred through your account
• Authorize us or our payment processor to charge your payment method

All payments are processed by a third-party payment processor. We do not store your full payment card information. Payment disputes should be directed to support@weride365.com.

We reserve the right to modify pricing or introduce new fees with reasonable notice.

The App may display sponsor content or advertisements. Sponsorship content is clearly labeled. We do not share your personal information with sponsors. Your engagement with sponsor content is voluntary.

All content, features, and functionality of the App — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Veltrex Solutions, Inc. or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes. You may not copy, modify, distribute, or create derivative works based on the App without our express written consent.

You retain ownership of content you submit through the App (such as ride descriptions, profile information, and messages). By submitting content, you grant Veltrex a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely in connection with operating and improving the App.

You represent and warrant that your content does not violate any third-party rights and complies with these Terms.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VELTREX DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

We do not endorse, verify, or guarantee any user, ride, or information posted through the App.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VELTREX SOLUTIONS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, OR LOSS OF DATA.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless Veltrex Solutions, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the App.

We may suspend or terminate your access to the App at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the App ceases immediately. Sections 8, 10, 11, 12, and 15 survive termination.

You may terminate your account at any time by contacting us at support@weride365.com or using the in-app account deletion feature.

If you download the App from the Apple App Store, you acknowledge and agree that:

• These Terms are between you and Veltrex only, not Apple
• Apple has no obligation to provide maintenance or support for the App
• In the event of any failure to conform to applicable warranties, you may notify Apple for a refund; Apple has no other warranty obligation with respect to the App
• Apple is not responsible for addressing any claims relating to the App
• Apple is a third-party beneficiary of these Terms and may enforce them against you

These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in Indianapolis, Indiana, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property matters.

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Veltrex regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
